These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and NGDB.AI LLC ("Company," "we," "us," or "our") regarding your use of our trade finance platform, APIs, and related services (collectively, the "Services").
By accessing or using our Services, you agree to be bound by these Terms and all applicable laws and regulations. If you do not agree with any of these Terms, you are prohibited from using or accessing our Services.
Platform Services
NGDB.AI provides a comprehensive trade finance platform that includes but is not limited to:
- Letters of credit processing and management
- Supply chain finance and working capital solutions
- Multi-currency payment processing and settlement
- KYC, AML, and compliance verification services
- Risk management and fraud detection tools
- API access for third-party integrations
Regulatory Compliance
Our Services are designed to comply with applicable financial regulations, including but not limited to anti-money laundering (AML) laws, know your customer (KYC) requirements, and sanctions compliance.
Eligibility Requirements
To use our Services, you must:
- Be at least 18 years of age or the age of majority in your jurisdiction
- Have the legal authority to enter into binding agreements
- Represent a legitimate business entity engaged in trade finance activities
- Not be prohibited from using our Services under applicable laws
- Not be located in a jurisdiction subject to economic sanctions
Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account or any other security breach.

Fee Structure
Our fee structure is transparent and competitive, with pricing based on transaction volume, service complexity, and the level of support required. Detailed pricing information is available in your service agreement or upon request.
Payment Processing
- Fees are automatically deducted from processed transactions or billed monthly
- All payments must be made in the agreed currency and payment method
- Late payment may result in service suspension and additional charges
- Disputed charges must be reported within 30 days of billing
Our Intellectual Property
The Services and all related technology, including but not limited to software, algorithms, user interfaces, and documentation, are owned by NGDB.AI or our licensors and are protected by intellectual property laws.
Limited License
We grant you a limited, non-exclusive, non-transferable license to use our Services solely for your business purposes in accordance with these Terms. This license terminates automatically if you breach these Terms.
User Content
You retain ownership of any content, data, or information you submit through our Services. By using our Services, you grant us a license to use such content solely for providing and improving our Services.
Service Availability
While we strive to provide continuous service availability, we do not guarantee uninterrupted access to our Services. We may temporarily suspend services for maintenance, upgrades, or other operational reasons.
Limitation of Liability
To the maximum extent permitted by law, NGDB.AI shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of our Services.
Indemnification
You agree to indemnify, defend, and hold harmless NGDB.AI and its affiliates from any claims, damages, or expenses arising from your use of our Services, violation of these Terms, or infringement of any third-party rights.
Termination by You
You may terminate your account at any time by providing written notice. Upon termination, you remain liable for all outstanding fees and charges.
Termination by Us
We may suspend or terminate your access to our Services immediately if you violate these Terms, engage in prohibited activities, or if required by law or regulatory authorities.
Effect of Termination
Upon termination, your right to use our Services ceases immediately. We will provide reasonable assistance in data export, subject to applicable legal and regulatory requirements.
Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Washington, United States, without regard to conflict of law principles.
Dispute Resolution
Any disputes arising from these Terms or your use of our Services shall be resolved through binding arbitration in accordance with the Commercial Arbitration Rules of the American Arbitration Association.
Jurisdiction
For any matters not subject to arbitration, you agree to submit to the personal jurisdiction of the courts located in Seattle, Washington.
